Service Contract

  1. Payment Terms: All work requires a 50% non-refundable deposit or Payment Plan Agreement.
  2. Payment Plan: If payment for any Logicmasys service has not been made in full, and the client requests a payment plan, they are required to complete and sign the “Payment Authorization Form.” Please send the completed form to info@logicmasys.com.
  3. Customer Information: The customer must provide all the information regarding his company that is necessary for LOGICMASYS to start and finalize de contracted job, including but not limited to company info, services offered, address, phone numbers, company history, company contacts, photos etc. within 24 hours days of signing this contract. If you do not provide the required information, LOGICMASYS will insert the information and photos at their own discretion.
  4. Design & Payment: No job will be online at their domain without the client’s signature or e-mail approval and has met the agreed payment terms. If the customer fails to make the agreed payment terms and deadlines, LOGICMASYS will have the right to sell the design to another customer.
  5. Web Content: All material, web designs, and domains are property of LOGICMASYS until the full and final payment of the contracted services is collected. Once LOGICMASYS receives final payment, all the documents and rights to will be transferred and released to the website owner unless specified otherwise in the original service contract.  LOGICMASYS is not responsible in any way for copyrighted infringements based on the website’ content; it is the sole responsibility of the customer to review and replace the content, which includes but not limited to images, texts, and videos, with their own. Customer confirms that all content provided to LOGICMASYS complies with all applicable property rights laws and regulations. In addition, the customer expressly indemnifies and holds harmless LOGICMASYS for any claim or action in connection with protected or copyrighted material included in the customer’s website, investigation, and/or loss of business revenue, loss of profits, loss of data, business interruption, loss of business information. All content and images shown on the demo site are for demonstration / presentation purposes only. The demo site is intended to exemplify a live and published website. LOGICMASYS will not be responsible for any consequential damages that may be caused directly or indirectly to the customer as a consequence of the website operation and design.
  6. The initial artwork preparation may take up to 5 workings days and E-commerce websites may take up to 20 Day from the day of the deposit payment. The initial artwork is defined as the home page only. The rest of the website is subject to be designed according to the approval of the initial artwork.
  7. Initial Web Changes: The client will have 5 days from the date LOGICMASYS submits the initial website layout for revision to make all of the initial web changes. The customer will have the right to three sets of free changes. Submissions and / or revisions will have to make the final approval of the website within a period of time no longer than 10 days after initial review.
  8. Third Party or Owner Changes:  LOGICMASYS will not be responsible for any damages or system failures caused to the website by the customers or any third party contracted by the customer to edit or make changes on the website, hosting system, and/or domain records or ownership. In that case, LOGICMASYS reserves the right to charge a $100/ hour fee to assist and/or help on correcting issues with any of the latter.
  9. Maintenance & Changes Costs: If the customer decides not to invest in packages containing maintenance, the customer will be responsible for paying a $100/hour fee for desired changes.
  10. Changes Submissions: LOGICMASYS will only receive changes, modifications, or adjustments required on the customers website by e-mail through the following address, info@logicmasys.com or sending videos explaining changes on the web. WE DO NOT ACCEPT ANY changes, modifications, or adjustments BY PHONE. Turnaround in the adjustments will be between 3 to 5 business days (not including weekends or holidays).
  11. Additional Modules: If the client decides to add modules or plugins that are not part of any pre-established package, it will have to be quoted.
  12. Failure of payment: In case of any breach of contract or failure of payment, the customer will be responsible for all legal fees and all expenses that LOGICMASYS incurs due to collecting diligences & the suspension of web service. There will be a re-connection charge of $50.00 to any website that is disconnected due to nonpayment.
  13.  Collections: In the event that the invoice remains unpaid for 90 days or more, the account will be subject to collections and all services will be terminated and disconnected. The client will be able to resume the services once the full payment of the outstanding balance has been received. The client will also be entitled to claim the ownership of the website after settling the balance. The client agrees to bear any legal costs that may arise from the collection process.
  14. Suspension of Optimized Website and/or Overdue Payments:  If the payment for optimization, changes or additional web works is overdue by more than 60 days, Logicmasys reserves the right to deactivate the optimized website until the outstanding billing is settled. The optimization will be impacted by the duration of the disconnection.
  15. Search Engine Optimization: LOGICMASYS will not guarantee rankings on Google, Yahoo or Bing unless the customer gets a package of marketing services. To Optimize the customer’s website with Google Place, the customer will need to provide LOGICMASYS with the confirmation number or pin for verification purposes. LOGICMASYS will not guarantee rankings in the first page or first position on Google, Yahoo or Bing when they get any of the marketing services. Rankings will be only in any of the first 3 pages on Google or the first 50 positions. The process will take within 2 to 6 months (standard Markets) and within 7 to 12 months (highly competitive markets) in being in any of the first 3 pages or the first 50 positions on the search engine. The optimization process CAN NOT be paused or temporary suspended. The website will be added to LOGICMASYS’s analytics and indexing systems accounts to be administered. In the event that the client decides to opt out of the optimization service, LOGICMASYS reserves the right to remove any optimization work or code inserted in the website by LOGICMASYS and of the removal of the website and domain from any indexing system under LOGICMASYS’s account.
  16. Google Adwords: The marketing service of Ad Words will be at a minimum of a $1,000.00 monthly budget with a 20% administrative service fee to LOGICMASYS.
  17. SEO Billing: The Search Engine Optimization service will be billed automatically to a credit card or ACH account every month on the day stipulated in the Payment Plan Authorization Form.
  18. Annual Renewal: There will be a renewal fees of $150.00 (non-refundable) upon any automatic renewal. Renewal fee can vary each year without notice. This agreement will be automatically renewed after its expiration date unless a written termination notice is given to LOGICMASYS within 30 days of its termination date.
  19. Expired Domains: May have an additional, non-refundable charge of recovery depending on the availability of the domain and the contracted company. It is not LOGICMASYS responsibility if domain is purchased by a third party and it’s not able to be recovered.
  20. Right to Publish: LOGICMASYS reserves the right to refuse to publish information that in its sole discretion may be (a)Abusive, defamatory or obscene, (b) fraudulent, artificial or misleading, (c) violates copyrights, trademarks or any intellectual property right a third party or (d) offensive or otherwise deemed inconvenient to the website visitor, in compliance with the client’s website expectations.
  21.  Website Handover and Post-Delivery Responsibility Terms: Once administrative access to a website has been handed over to the client after Logicmasys has completed the design, any changes or installation of plugins made by the client are entirely the client’s responsibility. If the website stops functioning or any features that were operational at the time of handover become limited, it is fully the client’s responsibility. Should the client wish for Logicmasys to repair the website due to damages caused by the new administrator, Logicmasys will charge $100 per hour for the repair, provided it is still possible to fix the issues.
  22. Contract Cancellations: To cancel this contract, the customer must file a written notification for termination 30 days before the desired termination date and send it to Info@logicmasys.com. A $200.00 charge will be applied for any transfer media or website requested due to contract cancellation, time & resources used.
  23. LOGICMASYS reserves the right to use any work done by LOGICMASYS for promotional purposes unless specified by the customer by written notification.

LOGICMASYS RESPONABILITIES:

  1. LOGICMASYS will be responsible for the service, design, development, implementation and operation of the contracted website.
  2. LOGICMASYS is responsible for performing the necessary system maintenance for the contracted website to remain online if website is hosted under LOGICMASYS servers. We are not responsible for website’s status if it was tempered by a third party (see #7 above).
